Terms & Conditions
Please read these terms carefully before using Servelens software or services.
Effective Date: January 1, 2025. These Terms & Conditions govern your access to and use of the Servelens video analytics platform, APIs, and related services provided by Servelens Technologies Pvt. Ltd. ("Servelens", "we", "us", or "our"). By accessing or using our services, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing, installing, or using any Servelens software, platform, or service (collectively, the "Service"), you ("Customer", "User", or "you") confirm that you have read, understood, and agree to be legally bound by these Terms & Conditions and our Privacy Policy.
If you are entering into these terms on behalf of a company or organization, you represent and warrant that you have the legal authority to bind that entity. If you do not agree to these terms, you must not access or use the Service.
2. Description of Services
Servelens provides an AI-powered video management and analytics platform that includes, but is not limited to:
- AI-based detection and analytics modules (crowd counting, ANPR, PPE detection, perimeter security, fire detection, and others)
- CCTV camera integration via ONVIF and RTSP protocols
- Real-time event notification and alerting systems
- Centralized video management dashboard
- Event-based smart recording and storage
- API access for third-party system integration
The Service is provided on a subscription basis as agreed in your purchase order, proposal, or service agreement. Feature availability may vary by plan.
3. License Grant
Subject to your compliance with these terms and timely payment of applicable fees, Servelens grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations and the number of cameras and users specified in your subscription plan.
This license does not include the right to:
- Sublicense, sell, resell, or transfer the Service to any third party
- Modify, copy, or create derivative works of the Service
- Reverse engineer, decompile, or disassemble any component of the Service
- Access the Service for competitive benchmarking or to build a competing product
- Remove or obscure any proprietary notices or labels on the Service
4. Restrictions on Use
You must not use the Service for any of the following purposes:
- Unlawful surveillance, stalking, or any activity that violates applicable privacy laws
- Monitoring individuals in areas where there is a reasonable expectation of privacy (e.g., restrooms, changing rooms) without proper legal authorization
- Building or training AI models using data extracted from the Servelens platform without prior written consent
- Attempting to gain unauthorized access to Servelens systems, infrastructure, or other customer accounts
- Transmitting malicious code, spam, or content that is illegal, harmful, or offensive
- Exceeding the camera or user limits specified in your subscription without authorization
You are solely responsible for ensuring that your use of the Service complies with all applicable laws, including but not limited to the Information Technology Act, 2000 (India), applicable state surveillance regulations, and any industry-specific data protection requirements.
5. Data & Privacy
Servelens processes video data and event metadata on your behalf. As the data controller, you are responsible for:
- Obtaining all necessary consents and permissions for video surveillance from employees, visitors, or any individuals within the camera's field of view, as required by applicable law
- Displaying appropriate signage informing individuals that they are being monitored
- Determining the lawful basis for processing personal data captured by cameras
- Complying with data subject access requests and erasure obligations
Servelens acts as a data processor and will process personal data only as directed by you and in accordance with our Privacy Policy and any applicable Data Processing Agreement.
Data Retention
Video footage and event data are retained in accordance with your configured retention settings. Servelens does not retain footage beyond the period specified in your plan unless required by law or agreed otherwise in writing.
6. Camera Data & AI Processing
By connecting cameras to the Servelens platform, you grant Servelens the right to process the video streams for the sole purpose of delivering the detection and analytics features included in your subscription.
Servelens does not:
- Sell, share, or monetize your camera footage or detected data with third parties
- Use your footage to train its AI models without your explicit written consent
- Provide your data to law enforcement without a valid legal order, except as required by applicable law
You acknowledge that AI-based detection is probabilistic in nature and may produce false positives or negatives. Servelens detection output should be treated as a decision-support tool and not as the sole basis for enforcement actions, legal proceedings, or security decisions.
7. Payment & Billing
Subscription fees are as set out in your purchase agreement or official proposal. All fees are exclusive of applicable taxes (including GST) unless otherwise stated.
- Annual subscriptions are payable in advance upon invoice
- Monthly plans are billed on the same date each month
- Overdue invoices may result in suspension of the Service after 15 days' written notice
- Fees are non-refundable except as expressly stated in writing or required by law
Servelens reserves the right to revise subscription pricing upon 30 days' written notice prior to renewal. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
8. Intellectual Property
The Service, including all software, algorithms, AI models, user interfaces, documentation, and content created by Servelens, is the exclusive intellectual property of Servelens Technologies Pvt. Ltd. and is protected by Indian and international copyright, patent, trademark, and trade secret laws.
Nothing in these terms transfers any ownership of Servelens intellectual property to you. Any feedback, suggestions, or improvements you provide regarding the Service may be used by Servelens without restriction or compensation.
9. Disclaimers & Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Servelens does not warrant that:
- The Service will be uninterrupted, error-free, or completely secure
- AI detection accuracy will meet specific numerical targets in all deployment environments
- The Service will prevent all security incidents or safety events
- Results generated by the AI will be legally admissible as evidence in all jurisdictions
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SERVELENS TECHNOLOGIES PVT. LTD. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY.
SERVELENS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Termination
Either party may terminate the Service subscription at the end of the current subscription period by providing 30 days' written notice.
Servelens may suspend or terminate your access immediately and without prior notice if you:
- Materially breach these terms and fail to cure the breach within 10 days of written notice
- Use the Service for illegal or unauthorized purposes
- Fail to pay fees after the applicable grace period
Upon termination, your right to access the Service ceases immediately. Servelens will retain your data for 30 days post-termination to allow export, after which it will be deleted in accordance with our data retention policy.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation.
If the dispute cannot be resolved within 30 days of written notice, both parties agree to submit to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India.
